Our Terms & Conditions

These Terms and Conditions govern the provision of services by Transparent Bills to its business customers.

By instructing Transparent Bills to provide services, requesting us to obtain quotations, signing a Letter of Authority, accepting an energy contract arranged through us or otherwise using our services, you agree to these Terms and Conditions.

Please read them carefully before using our services.

About Us

Transparent Bills is a UK commercial energy broker and consultancy providing energy procurement and related services to businesses.

Our services may include comparing energy tariffs, obtaining quotations, negotiating with suppliers, arranging electricity and gas contracts, assisting with renewals and helping customers with supplier-related queries.

Our Services

Transparent Bills acts as an intermediary between business customers and energy suppliers.

Depending on your requirements, our services may include:

  • Reviewing your existing electricity and/or gas arrangements.
  • Obtaining quotations from energy suppliers.
  • Comparing available tariffs and contract options.
  • Negotiating commercial terms with suppliers.
  • Presenting suitable energy contract options.
  • Assisting with contract applications and supplier paperwork.
  • Managing or assisting with contract renewals.
  • Assisting with billing, metering or supplier queries.
  • Providing general energy procurement and account support.

The availability of suppliers, tariffs and products may change at any time.

We do not guarantee that every supplier or tariff available in the UK energy market will be included in our comparison.

Our Role as an Energy Broker

Transparent Bills is an independent commercial energy broker and is not an energy supplier.

Any electricity or gas supply contract you enter into will normally be directly between your business and the relevant energy supplier.

The supplier's own terms and conditions will therefore apply to your energy supply contract.

We may assist with the procurement and administration of that contract, but we are not responsible for the supplier's performance of its obligations.

Quotations

Energy prices can change frequently.

Unless specifically stated otherwise, quotations provided by Transparent Bills are indicative and subject to:

  • Supplier acceptance.
  • Credit approval.
  • Contract availability.
  • Verification of meter and consumption information.
  • Market movements.
  • The supplier's own terms and conditions.

A quotation does not guarantee that the quoted price will remain available.

Where a quotation has an expiry date or acceptance deadline, the customer must accept it within that period for us to attempt to secure those terms.

We cannot guarantee that a supplier will honour a quotation where market conditions or supplier requirements change before the contract is accepted.

Customer Responsibilities

To allow us to provide our services effectively, you agree to provide accurate and complete information.

This may include:

  • Business name and address.
  • Contact information.
  • Current energy supplier.
  • Current contract details.
  • Contract end dates.
  • Electricity MPAN and/or gas MPRN.
  • Energy consumption information.
  • Copies of energy bills.
  • Payment information where required by the supplier.
  • Any other information reasonably required to obtain or administer an energy contract.

You are responsible for checking that information provided to us is accurate.

Transparent Bills will not be responsible for losses arising from incorrect, incomplete or outdated information supplied by you or on your behalf.

Authority to Act

You may be asked to provide Transparent Bills with a Letter of Authority (LOA).

An LOA may authorise us to contact your existing or prospective energy suppliers and obtain information relating to your energy account.

Depending on the authority provided, this may include obtaining:

  • Contract information.
  • Consumption data.
  • Meter information.
  • Renewal dates.
  • Billing information.
  • Other information reasonably required to provide our services.

An LOA does not, by itself, give Transparent Bills authority to enter into an energy supply contract on your behalf unless this is expressly stated and separately authorised.

Entering Into an Energy Contract

Before entering into an energy supply contract, you should carefully review the quotation and the supplier's contract terms.

Once an energy contract has been accepted, whether verbally, electronically, through a signed document or by another method accepted by the supplier, it may become legally binding.

Commercial energy contracts generally do not provide the same cancellation rights available to domestic consumers.

You are therefore responsible for ensuring that you understand and agree to the contract before accepting it.

Transparent Bills will provide reasonable assistance in explaining the commercial terms presented to you, but the final decision to enter into a contract remains with the customer.

Broker Commission and Fees

Transparent Bills may receive commission from an energy supplier when we successfully arrange an energy contract.

Depending on the contract and supplier, our commission may be incorporated into the energy price you pay.

Commission arrangements can vary between suppliers and contracts.

Where applicable, information regarding our commission or remuneration will be provided in accordance with relevant regulatory requirements.

If a separate consultancy or service fee is payable directly to Transparent Bills, this will be communicated and agreed with you before the relevant service is provided.

Supplier Selection

We work with a range of energy suppliers.

We aim to identify competitive and appropriate options based on the information available to us and your stated requirements.

However, we do not guarantee that:

  • We compare every energy supplier in the market.
  • The lowest-priced contract available anywhere in the market will always be offered.
  • A particular supplier will accept your business.
  • A particular tariff will remain available.
  • Future energy prices will be lower or higher than the price agreed.

The final decision regarding which supplier and contract to select remains yours.

Contract Renewals

Where we hold relevant information, we may contact you before the end of your energy contract to discuss renewal options.

Energy suppliers may have specific notice periods, termination requirements or renewal provisions.

You remain responsible for your energy supply arrangements and for ensuring that any necessary termination or renewal requirements are met unless we have expressly agreed to manage those matters on your behalf.

We recommend contacting us well in advance of your contract end date so that available options can be reviewed.

Change of Tenancy or Business Circumstances

You should notify us and your energy supplier as soon as reasonably possible if:

  • You move premises.
  • Your business ceases trading.
  • There is a change of tenancy.
  • The legal entity occupying the premises changes.
  • You sell your business.
  • Your energy requirements materially change.

Failure to notify the relevant supplier may result in additional charges or contractual issues for which Transparent Bills cannot accept responsibility.

Payment to Energy Suppliers

Unless otherwise expressly agreed, payments for electricity or gas consumption are made directly to the relevant energy supplier.

Transparent Bills is not responsible for collecting your supplier's energy charges.

You remain responsible for paying invoices issued by your energy supplier in accordance with the supplier's payment terms.

Failure to make payment may result in additional charges, debt collection activity or interruption to your energy supply in accordance with the supplier's terms.

Supplier Issues

We may assist customers with supplier-related matters including billing queries, contract administration and account issues.

However, because the energy supply contract is between you and the supplier, we cannot guarantee the outcome or resolution of a supplier dispute.

Transparent Bills is not responsible for acts, omissions, service interruptions, billing errors, system failures or other failures caused directly by an energy supplier or another third party outside our reasonable control.

Limitation of Liability

Nothing in these Terms and Conditions excludes or limits liability where doing so would be unlawful.

Subject to this, Transparent Bills will not be responsible for indirect or consequential losses arising from the use of our services.

We will also not be responsible for losses caused by matters outside our reasonable control, including:

  • Changes in wholesale energy markets.
  • Supplier withdrawal of prices or products.
  • Supplier insolvency or failure.
  • Incorrect information supplied by the customer.
  • Delays or failures caused by energy suppliers.
  • Network or metering problems outside our control.
  • Government or regulatory changes.
  • Events of force majeure.

Nothing in these Terms limits any legal rights that cannot lawfully be excluded.

We take reasonable care to ensure that information provided on our website is accurate and up to date.

However, information relating to energy markets, tariffs, suppliers and regulation can change.

Website content is therefore provided for general information and should not be regarded as a guaranteed quotation or personalised professional advice unless expressly stated otherwise.

Data Protection

We process personal information in accordance with applicable UK data protection legislation.

Details of how we collect, use, store and share personal information are contained within our Privacy Policy.

By using our services, you acknowledge that certain information may need to be shared with energy suppliers and relevant service providers in order for us to provide quotations or administer services.

Complaints

We aim to provide a high standard of service.

We will handle complaints in accordance with our published Complaints Procedure and any applicable regulatory requirements.

Where applicable, customers may also have the right to refer an unresolved complaint to the relevant independent dispute resolution or Ombudsman service.

Ending Our Services

You may ask us to stop providing brokerage or consultancy services to you, subject to any existing contractual obligations.

Ending your relationship with Transparent Bills does not automatically cancel an energy supply contract that has already been entered into with an energy supplier.

Any existing energy supply agreement remains subject to the supplier's terms and conditions.

We may also cease providing services where reasonably necessary, including where:

  • False or misleading information has been provided.
  • There has been abusive or inappropriate behaviour towards our staff.
  • Continuing to provide the service could breach legal or regulatory requirements.
  • Amounts properly due to us remain unpaid.
  • We are otherwise unable to continue providing the service.

Intellectual Property

Unless otherwise stated, the content of the Transparent Bills website, including text, branding, graphics and other materials created by us, belongs to Transparent Bills or is used under licence.

Content may not be copied, reproduced or commercially distributed without our permission, except where permitted by law.

Third-Party Websites

Our website may contain links to energy suppliers or other third-party websites.

We are not responsible for the content, security, availability or privacy practices of third-party websites.

Use of those websites is subject to their own terms and policies.

Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes to our services, business practices, legislation or regulatory requirements.

The latest version will be made available on our website.

Changes will not retrospectively alter the terms of an existing energy supply contract between you and an energy supplier.

Governing Law

These Terms and Conditions and any dispute arising from them will be governed by the laws of England and Wales.

Unless applicable law provides otherwise, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms.
